This website is owned and operated by Zeenexo and ("we", "our", "Company" or "Kundlivala" including its affiliates) (support@kundlivala.com). The Platform may be provided or accessed through a number of websites or applications, including the website kundlivala.com and its associated apps.

The following terms and conditions ("Agreement") govern your access to and use of consultation and information services related to Indian astrology and other related spiritual sciences (collectively "Spiritual Consultancy Services").

By accessing or using the Platform, you are entering into this Agreement. Please read this Agreement carefully before you begin using the Platform. If you do not wish to be bound by any of the terms of this Agreement, you should not access the Platform.

When the words "we", "us", "our" or similar terms are used in this Agreement, they refer to any company that owns and operates the Platform ("Company").

If you are thinking about harming yourself or others, or if you believe someone else is in danger, or if there is a medical emergency, you should immediately call the police or a suicide prevention helpline such as AASRA (91-22-27546669). This Platform is not designed for use in the above cases. If you continue to use the Platform despite this notice, you do so entirely at your own risk.

This platform is not intended for clinical diagnosis, requiring individualized evaluation. It is also not intended to provide any information about which medications or medical treatments may be appropriate for you.

Do not ignore, avoid, or delay seeking personal care from your doctor or other qualified professional because of information or advice received through the Platform.

Update

The Website may update/amend/change these Terms of Use from time to time. It is the User's responsibility to check the Terms of Use periodically to ensure compliance with these Terms before accessing the Website or availing the services available on kundlivala Website.

User consent

By accessing or downloading and using the Website, you ("Member", "you", "your") signify that you understand the terms and unconditionally and expressly consent to the Terms of Use of this Website. If you do not agree to the Terms of Use, please do not click the "I Agree" button. It is advisable to read the Terms of Use carefully before using the Website, registering, or accessing any content, information, or services. Your use and continued use of the Website (notwithstanding any amendments made from time to time) will signify your acceptance of the Terms of Use and your agreement to be legally bound by them.

General description

The Website is an Internet-based portal accessible on the World Wide Web, applications, and other electronic media and provides a platform for accessing astrological content, reports, data, telephone, video, and email consultations (hereinafter referred to as "Content"). The Content provided through the Website is available as "free services," "paid services," or a combination of both (collectively, the "Services"). Free Services are readily available without becoming a Member; however, registration as a Member on the Portal is required to access personalized astrological Services and/or receive additional Content and access Paid Services. By registering for Paid Services, a Member agrees to the following:

Registration and Eligibility

However, you are permitted to ask questions related to minors in your family, subject to the terms and conditions set forth in this policy.
• •To avail the Services, the User will be directed to register as a Member on the Website, wherein you (the User) agree to provide updated, current and accurate information when filling in the sign-in form. All information filled and provided by you to the Website and all updates thereto are referred to as "Registration Data" in these Terms of Use.
• •You may create an account using a Website ID (your phone number) and password (OTP) or other login ID and password, which may include Facebook, Gmail, or any other valid email ID. When creating an account, the user represents and warrants that all information provided by the user is current, accurate, and complete. The use of another user's account information to benefit from the Services is expressly prohibited.
• •The right to use this website is personal to the user and is not transferable to any other person or entity. The user is responsible for protecting the confidentiality of his or her password and other information required for registration.
• •While availing any service the user will be informed whether the service provided is an individual service of the website or is available from a third party.
• •The User agrees, understands and confirms that his/her personal data transmitted over the Internet, including details relating to debit card/credit card, may be vulnerable to misuse, hacking, theft and/or fraud.
• •The Website does not permit the use of the Services by any User: if the User is a resident of any jurisdiction that may restrict the use of the services provided by the Website; if the User is a resident of any state/country which by law, regulation, treaty or administrative act prohibits the entry into business relations; due to any religious practice; or if the User has created multiple accounts using different mobile numbers. The User cannot have more than one active account with the Website.

"Call with Service Provider" feature

The Website is providing a service which is available through telecommunication with a service provider listed and nominated with the Website. By agreeing to the present Terms of Use, you also unconditionally consent to the Website making calls to your mobile number, even if your number is on DND service provided by your mobile service provider.

First free chat/call

kundlivala offers each unique user a first free chat or call, lasting from 1 to 5 minutes (varies between users). A unique user, as defined by kundlivala, is someone whose mobile number and device ID have never been registered on kundlivala before.

The service providers listed on kundlivala act in their individual capacity when providing predictions, advice, and consultation, including performing havans, pujas, or special offerings. kundlivala does not assume any responsibility or ownership for the predictions, advice, or services provided by the service providers.

Each Service Provider is solely responsible for the accuracy, reliability, and suitability of its predictions and advice. kundlivala does not warrant or guarantee the effectiveness, accuracy, or efficacy of any advice or remedies provided by any Service Provider.

kundlivala disclaims any liability arising from interactions between service providers and users. Users engage with service providers at their own discretion, and any decisions or actions taken based on astrological advice are the responsibility of both the user and the service provider.

By using kundlivala Platform, Users acknowledge and agree that Service Providers are solely responsible for their Services, and any legal claims or disputes relating to the Services provided by a Service Provider shall be directed solely against that Service Provider and not kundlivala.

The Company reserves the right to remove Service Providers from the Platform based on violations of community standards.

Website Content

• •The Website and any individual websites that may be available via external hyperlinks to the Website are private property.
• •All interactions on this website, including guidance and advice received directly from a licensed provider, must comply with these Terms of Use.
• •The User shall not post or transmit through this Website any material that infringes the rights of others, or that is illegal, abusive, defamatory, invasive of privacy, obscene, lewd or otherwise objectionable.
• •The Website shall have the right to suspend or terminate such User's access or terminate the User's registration.
• •The Website reserves the right to terminate any access or to change or discontinue any aspect or feature of the Website.
• •No information on the Site should be considered medical advice, other than guidance and advice received directly from a third-party service provider.
• •The Website does not guarantee the accuracy of medical advice provided by third-party service providers. Users should always consult an appropriately qualified healthcare professional for diagnosis and treatment. kundlivala does not endorse any specific tests, medications, products, or procedures.
• •The Website does not guarantee against any adverse events that may occur to the User after using the Services. The Website or the consulting service provider is not responsible for any consequences that the User may not expect.
• •Astrological consultations provided through kundlivala are for personal insight and opinion only and are not professional medical, legal, or financial advice.
• •The Service Provider is solely responsible for its predictions and advice. kundlivala claims no ownership, control, or responsibility for the Service Provider's interactions with the User, or the advice provided.
• •By using the Site, Application or Services, the User agrees that any legal remedy or liability for the acts or omissions of other Members or third parties connected to the Website shall be limited to a claim against that particular party only.

User account access

The Website will have access to the account and information created by the User to ensure high quality services and to meet the Customer's needs in the most effective manner. The User hereby consents to unconditional access to the account by the Website, its employees, agents and other persons appointed in this regard.

Privacy Policy

By using kundlivala, you acknowledge and consent to the collection and use of your personal data as described in our Privacy Policy, in compliance with the Information Technology Act, 2000 and applicable data protection laws. kundlivala takes all reasonable steps to protect User data, but is not liable for unauthorized access resulting from User negligence. User further acknowledges, expresses, and agrees that the terms and contents of such Privacy Policy are acceptable to User.

Violation and termination

• •The Website may modify, discontinue, alter or change the User's ordered services or account registered with the Website, in whole or in part, without notice to the User.
• •Violation of any of the conditions set forth in these Terms of Use will result in the immediate cancellation of the User's registration. The Website reserves the right to immediately terminate and initiate legal action if the Website is not able to verify and authenticate the registration data; believes the User's actions may create legal liability; or believes the User has provided false and misleading registration data or has violated the Privacy Policy.
• •With respect to the Service Provider, you understand and agree that your relationship with the Website is limited to being a Member and that you act exclusively on your own behalf and for your benefit.

Delivery, Cancellation and Refund

• •No refunds will be given under any circumstances on any report order if the order has reached the "processing" (assigned to service provider) stage.
• •Refunds are not provided once orders for astrological services have been processed and delivered. Any refund request must be made within 24 hours of service completion. If a user wishes to cancel a successfully placed order before execution, they must contact the customer service team within 1 (one) hour of payment.
• •Refunds cannot be claimed for any technical delays or glitches reported during the processing of the request on the website.
• •No refunds will be given due to incorrect information or data provided. The User agrees to double-check the information entered before clicking "Submit".
• •No refunds will be given for the return of any damaged product.
• •Refunds may be considered on a pro-rata basis for any delays in activation of subscription services. Upon successful verification, if a refund is required, it will be processed within 10 business days.
• •You agree that the display pictures of the products are for reference purposes only.
• •No refund will be given if wrong contact number is provided to avail the "Call with Service Provider" facility.
• •Refunds, if any, will be processed after deduction of transaction charges levied by the bank and/or payment gateway, shipping/courier charges, customs duty (if applicable).
• •If the website or payment gateway webpage is experiencing server issues, the user should check whether his/her bank account has been debited before initiating another payment. If debited, do not pay again and contact customer service immediately; if not debited, the user can initiate a new transaction.
• •For multiple payments for the same order, if any, full refund will be given without deduction of transaction charges.
• •If the Website is unable to accept an order and must cancel it, the Website reserves the right to refuse or cancel any order for any reason. If the User's order is cancelled after payment of the Fees, the amount paid will be refunded.
• •By requesting a refund, the user is allowing kundlivala quality audit team access to the chat/call recordings of the consultation for which the refund is requested.
• •The kundlivala quality audit team, on a best-effort basis, provides users with partial/full refunds to their kundlivala wallet where the advisor's quality criteria are not met. The analysis and refund to the kundlivala wallet may take up to 72 hours.
• •Note: All refunds will be credited to the user's kundlivala wallet.
• •Refunds will be considered only in the following cases: chats/calls interrupted due to network issues, weak signals, background noise, or inaudible advisors during video/normal call sessions; the consultant is unable to respond fluently in the language mentioned in his/her profile; the advisor is taking too long to respond back to the user; the advisor may have provided an irrelevant or inappropriate response to the user's question.
• •Please note: No refunds will be given in case of any lack of accuracy of any advice. kundlivala takes no responsibility for the factual accuracy of any advice.

User Responsibilities

The User (including Service Providers and Member Customers) is under an obligation not to violate the Privacy Policy, Terms and Conditions, and any other terms defined on the Website. The User represents that he or she is an individual, not a corporation or other legal business entity. The right to use the Website's services is personal to the User. The User will not violate the following conditions:

• •The User shall not post, publish or transmit any message that is false, misleading, defamatory, harmful, threatening, abusive, harassing, invasive of another's privacy, promotes racism, hatred or harm.
• •The User shall not upload or post any material that he or she does not have the right to make available.
• •User shall not upload or post any material that infringes any patent, trademark, trade secret, copyright or other proprietary rights.
• •The User shall not collect the screen names and email addresses of members registered on the Website for the purpose of advertising, solicitation or spam.
• •User will not send unsolicited email, junk mail, spam or chain letters.
• •User shall not upload or distribute files containing viruses, corrupted files or other harmful software.
• •The User shall not engage in any activity that interferes with or disrupts access to the Website.
• •The User shall not attempt to gain unauthorized access to any part or feature of the Website through hacking, password mining or any other illegal means.
• •The User shall not violate any applicable laws or regulations for the time being in force within or outside India.
• •The User shall not resell or make commercial use of the Services without the written consent of the Website.
• •The User shall not violate these Terms of Use.
• •The User shall not reverse engineer, modify, copy, distribute, imitate, transmit, trade, display, reproduce, publish, license, create derivative works from, transfer or sell/resell or exploit for any commercial purpose any information or software obtained from the Website.

By becoming a registered member of the Website, the User agrees to the following conditions:

• •The User agrees to receive communications through email/SMS or any other communication medium including WhatsApp Business Messages in relation to the use of the App/Website.
• •The User agrees not to transmit any unlawful, harassing, abusive, threatening, harmful, obscene or otherwise objectionable material through the Website.
• •The User shall not transmit any material that encourages any criminal offence.
• •User shall not interfere with other Members' use or enjoyment of the Website or Services.
• •The User is under an obligation to report any misuse or violation of the Site.
• •The User shall only provide genuine feedback about the Service Provider. Membership of a Member making a false complaint may be terminated without any refund of subscription fees.
• •kundlivala prohibits discrimination against Service Providers on the basis of race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic protected under applicable law.
• •We request that you treat all service providers with respect and courtesy.
• •The website reserves the right to withdraw its services/terminate access or take legal action against any customer who is found engaging in harassment, hate speech, illegal activities.
• •If a service provider behaves rudely, abusively or inappropriately, you are required to report the incident to support@kundlivala.com within 48 hours.

While the Website will take all steps to resolve any breach of the above obligations, if the situation is beyond control, the Website reserves the right to issue a written warning. Repeated violations by a User will result in a complete ban on transactions on the Platform by that User.

Bank account information

The User is obligated to provide his/her banking information when required. The User's obligations for this purpose are:

• •The User agrees that the debit/credit card details provided by him/her for use of the above service(s) must be true and accurate and the User shall not use a debit/credit card which is not legally owned by him/her.
• •The User may pay the required Fees to the Website through a debit/credit card or online banking account. The User warrants, agrees and confirms that they are fully and legally entitled to use the credit/debit card or bank account for such transactions, and that the details provided are accurate.
• •The User is responsible for ensuring that sufficient credit is available on the nominated card/bank account at the time of payment.

User further agrees that if any part of these Terms of Use is determined to be invalid or unenforceable under applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision and the remainder of these Terms of Use will remain in effect.

Disclaimer / Limitation of Liability / Warranty

The User expressly understands and agrees that, to the maximum extent permitted by applicable law, the Website does not warrant the quality of the Service Providers' services. The astrological consultation provided through the Website is based on the Service Providers' accumulated or personal knowledge, experience and interpretations.

• •The Website offers services through a diverse panel of service providers duly verified by the Website. Such service providers may, from time to time, recommend the use of mantras, yantras, gemstones, or other astrological remedies. Such recommendations are made in good faith, and the Website makes no warranty that the service will meet your needs; that it will be uninterrupted, timely, secure, or error-free; that results will be accurate or reliable; that the quality of any products, services, information, or other material purchased or obtained will meet your expectations; or that any errors in the software will be corrected. You will need to provide complete information about the emotional, mental and physical condition of the person seeking advice from the panel of service providers.
• •Disclaimer on System-Generated Advice: The information and guidance provided through the interactive tools available on this website ("System-Generated Advice") is for general informational purposes only and does not constitute professional, medical, legal, financial, or specialized advice. kundlivala makes no warranties or representations regarding the accuracy, completeness, or applicability of System-Generated Advice. Users are encouraged to consult qualified professionals before making any decisions based on System-Generated Advice. The Website, Services, and other materials are provided on an "as is" basis without warranties of any kind.
• •To the maximum extent permitted by applicable law, the Website will not be responsible for any liability related to User Content under intellectual property rights, defamation, privacy, publicity, obscenity or other laws.
• •The Website will not be liable for any losses that the User may incur as a result of unauthorized use of their account or account information.
• •The User understands and agrees that any material or data downloaded or otherwise obtained through the Website is entirely at their discretion and risk.
• •The Website, on its own behalf and on behalf of its suppliers, disclaims all warranties of any kind.
• •Services may include, without limitation: astrological content, reports, tarot readings, fortune telling, numerology, predictions, live telephone consultations, email consultations. kundlivala charges on a per-minute basis for the chat/call service provided on this Platform.
• •Advisors/Consultants/Service Providers are also members of the Site and are not employees of the Website or the Company. While the Website checks their qualifications, certifications, credentials and background, it does not reference, endorse, recommend, verify, evaluate or guarantee any advice, information or other services provided by them.
• •This website is not a suicide helpline platform. If you are considering suicide or feel you are a danger to yourself or others, immediately call a suicide prevention helpline like AASRA (91-22-27546669).
• •The Website shall not be liable for any inaccuracy, error, or delay in any data, information, or message. Under no circumstances shall the Website and/or the Payment Service Provider be liable for any direct, indirect, incidental, special, or consequential damages.

Notwithstanding anything to the contrary contained herein, kundlivala liability to you for any reason whatsoever will be limited to the amount paid by you to the Website during the term of your subscription.

kundlivala will not be liable for any failure or delay in providing the Services due to events beyond its reasonable control, including acts of God, government action, war, epidemics, cyber-attacks or disruptions in telecommunications.

Use of Display Names by Service Providers

• •kundlivala may allow its Service Providers to use a display name, screen name, pseudonym, or professional name ("Display Name") on the Platform. The Display Name may be different from the Service Provider's real, legal, or registered name.
• •kundlivala vets service providers in accordance with its internal verification and compliance policies and applicable law. The use of display names is intended to support privacy, professional presentation, and user experience.
• •In the event of a User complaint, dispute or legal issue relating to the Services provided on the Platform, kundlivala may cooperate with the relevant authorities under applicable law or in accordance with a valid request from a competent authority.
• •kundlivala reserves the right to approve, modify, suspend or withdraw any display name to ensure compliance with its policies or regulatory requirements.
• •Except as required under applicable law, kundlivala shall not be liable for any confusion or misunderstanding arising solely from the difference between the Service Provider's display name and their actual or legal name.

Compensation

The User shall indemnify, defend and hold harmless the Website and its parent company, subsidiaries, affiliates, officers, directors, employees, suppliers, consultants and agents from any and all third party claims, liabilities, damages and/or costs (including attorney fees) arising from your use of the Services, your violation of the Privacy Policy or these Terms of Service, or your misuse of the Platform or the Services provided, your violation of any third party rights.

Proprietary Rights over the Content

The User acknowledges that the Content, including text, software, music, sound, photographs, video, graphics, or other materials, is protected by copyrights, trademarks, service marks, patents, and/or other proprietary rights and laws. The User is not permitted to copy, use, reproduce, distribute, display, or create derivative works from the Content unless expressly authorized by the Website, its suppliers, or advertisers. Unauthorized commercial use of kundlivala intellectual property is strictly prohibited.

kundlivala reserves the right to modify, remove, or use any User-Generated Content for legal compliance, service improvement, or marketing purposes without prior notice.

Notice

Except as otherwise stated in these Terms of Service, all notices to a party will be in writing and given via email or postal mail. Notice will be deemed given 24 hours after the email is sent or 3 days after it is deposited in the mail.

Restricted Content — Child Safety

Our app strictly prohibits users from creating, uploading, or distributing content that facilitates the exploitation or abuse of children. This includes all child sexual abuse material. To report such content on the kundlivala app, contact support@kundlivala.com.

We also prohibit the use of the kundlivala app for activities that endanger children, including but not limited to:

• •Inappropriate interactions directed at a child (for example, inappropriate physical contact or fondling).
• •Child grooming (for example, befriending a child online to facilitate sexual contact online or offline).
• •Sexualization of a minor (for example, imagery that depicts, encourages, or promotes the sexual exploitation of children).
• •Sextortion (for example, using actual or perceived access to intimate images of the child to threaten or blackmail a child).
• •Child trafficking (for example, advertising or soliciting a child for commercial sexual exploitation).

If we become aware of content containing child sexual abuse material, we will take appropriate action. Any such behavior or content should be immediately reported to support@kundlivala.com. The Company maintains zero tolerance for any content that encourages or contains violence, gore, or inappropriate interactions involving minors.

In addition, content appealing to children but containing adult themes is strictly prohibited, including content containing extreme violence, blood and gore, and content depicting or encouraging harmful and dangerous activities. We also don't allow users who promote negative body or self-image.

Inappropriate Content

To ensure our app remains a safe and respectful platform, we have established standards that define and prohibit content that is harmful or inappropriate for our users. Users are strictly prohibited from uploading or distributing:

• •Sexual content or pornography, including pornographic material, sexual acts, or services that promote or solicit sexual activities for compensation.
• •Depictions of violence, threats, or behavior that incites hatred or harm based on protected characteristics such as race, religion, gender, sexual orientation, or nationality.
• •Any content that glorifies terrorist activities or promotes dangerous organizations and movements.

kundlivala reserves the right to remove accounts that violate these standards and to take legal action where applicable.

Sexual Content and Obscenity

We don't allow accounts that contain or promote sexual content or obscenity, including pornography, or any content or services that are sexually gratifying. Any account containing content that violates this policy reserves the right to delete the account owner with immediate effect. Users are prohibited from:

• •Depictions of sexual nudity, or sexually suggestive poses.
• •Depictions, animations, or images of sexual acts.
• •Sexual aids, sex guides, content depicting illicit sexual themes and fetishes.
• •Obscene or lewd content.
• •Content depicting, describing, or encouraging bestiality.
• •Content promoting sexual entertainment, escort services.
• •Content that degrades or objectifies people.
• •Content or behavior that attempts to threaten or exploit people in a sexual manner.

Hate Speech

We do not allow users who promote violence or incite hatred against individuals or groups based on race or ethnic origin, religion, disability, age, nationality, sexual orientation, gender, gender identity, caste, immigration status, or any other characteristic associated with systemic discrimination or marginalization. Users are prohibited from:

• •Content or speech that claims a protected group is subhuman, inferior, or deserving of hatred.
• •Hateful slurs, stereotypes, or theories containing negative characteristics about a protected group.
• •Content or speech that encourages others to believe that people should be hated.
• •Content promoting hate symbols associated with hate groups.

Violence

We don't allow apps that depict or facilitate gratuitous violence or other dangerous activities. Users are prohibited from graphic depictions or descriptions of realistic violence or violent threats against any person or animal, and from content promoting self-harm, suicide, eating disorders, choking games, or other acts where serious injury or death could result.

Terrorist Material

We do not allow terrorist organizations to publish content for any purpose, including recruitment, or content related to terrorism, such as content that promotes terrorist acts, incites violence, or celebrates terrorist attacks.

Dangerous Organizations and Movements

We do not allow movements or organizations that have engaged in acts of violence against civilians to publish content for any purpose, including recruitment, or content that involves planning, preparing for, or glorifying violence against civilians.

Sensitive Events

We don't allow content that exploits or is insensitive to a sensitive event with significant social, cultural, or political impact, such as civil emergencies, natural disasters, public health emergencies, conflicts, deaths, or other tragic events. Users are prohibited from lack of sensitivity regarding the death of a real person, denying the occurrence of a well-documented major tragic event, or trying to profit from a sensitive incident with no clear benefit to the victims.

Bullying and Harassment

We do not allow content that contains or facilitates threats, harassment, or bullying, including threatening victims of international or religious conflicts, attempting to exploit others (extortion, blackmail, etc.), posting content to publicly humiliate someone, or harassing victims of a tragic event, or their friends and families.

Dangerous Products

We do not allow users who facilitate the sale of explosives, firearms, ammunition, or certain firearm accessories, or who provide instructions for the manufacture of explosives, firearms, ammunition, prohibited firearm accessories, or other weapons.

Restricted Substances

We do not allow users who facilitate the sale of marijuana or marijuana products, regardless of legality. We also do not allow users who facilitate the sale of tobacco or encourage the illegal or improper use of alcohol or tobacco, or the sale of psychotropic drugs or drugs that fall under the restricted category of the Drugs and Cosmetics Act and Rules 1945.

Black Magic, Witchcraft, Voodoo and Occultism

We strictly discourage our users from engaging in any form of black magic, witchcraft, voodoo, and occultism. If we come to know that any user is knowingly or unknowingly involved in such activities, we reserve the right to delete the account with immediate effect. Any such behavior or content should be immediately reported to support@kundlivala.com.

kundlivala Services

These Terms of Service apply to all users of kundlivala (formerly Zeenexo). Information provided by our users through the kundlivala Service may contain links to third-party websites that are not owned or controlled by kundlivala. kundlivala has no control over the content, privacy policies, or practices of any third-party website, and assumes no liability for any mistakes, misrepresentations of law, defamation, omissions, falsehoods, obscenity, or pornography in third-party content on the Site. By using the Service, you expressly acknowledge and agree that kundlivala will not be responsible for any loss, claim, or other liability arising from your use of any content or third-party website.

Users are advised to review the terms and policies of third party services before engaging in transactions.

Errors, Corrections, and the Right to Modify or Discontinue the Service and Sites

We do not represent or warrant that the kundlivala Site will be error-free, free of viruses or other harmful components. We may make changes to the features, functionality, or content of kundlivala at any time. kundlivala reserves the right at any time and for any reason to modify or discontinue, temporarily or permanently, the Services and/or Sites (or any part thereof) with or without notice. kundlivala will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services or any Sites.

Governing Law and Jurisdiction

Any dispute arising under these Terms of Use, including the scope and applicability thereof, shall be settled by arbitration in New Delhi, India, before a mutually appointed sole arbitrator under the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be held in English, and the award shall be final and binding.

Notwithstanding the foregoing, either party may apply for interim relief to the courts in New Delhi to protect its rights pending arbitration. These Terms are governed by the laws of India, and the parties submit to the exclusive jurisdiction of the courts in New Delhi for such proceedings.

SMS / RCS Program Terms

• •Program Description: From time to time, kundlivala may send various types of messages, including (without limitation) account-related notifications, service updates, transaction alerts, informational messages, customer support communications, and promotional or marketing materials. The categories of messages and their content may change from time to time at kundlivala's sole discretion.
• •Frequency of Messages: There is no fixed frequency for sending messages. This frequency may change from time to time based on user activity, service usage, campaigns, and operational needs.
• •Opt-In: By registering on the Platform, providing your mobile number, using or joining the Platform, or by expressing your consent through any means, whether web, keyword, verbally or in writing, you agree that kundlivala (and its authorized service providers) may send you messages to the mobile number you provide or linked to your account. You also declare that you are an authorized user of the said mobile number.
• •Opt-Out: You may request to opt-out of promotional messages at any time by replying to any such message with the text "STOP." kundlivala will process your opt-out request within a reasonable time, in accordance with applicable laws. However, you acknowledge that even after opting out of promotional messages, you may still receive transactional, service-related, or legally required messages.

• •Message and data charges: Message and data usage charges may apply, which are the sole responsibility of the recipient. kundlivala is not liable for any charges imposed by your mobile operator or service provider.
• •Message Delivery: Message delivery depends on the availability, coverage, and technical capabilities of mobile operators and networks. Neither kundlivala nor the mobile operator is liable for messages that are delayed, misaddressed, blocked, filtered, or undelivered. kundlivala makes no guarantees regarding the delivery, timing, or receipt of any message.
• •Program Changes: kundlivala may, in its sole discretion, at any time, without prior notice and without liability to any User, modify, suspend, restrict, or terminate this messaging program (in whole or in part), including changes to program features, message categories, message frequency, or eligibility criteria.
• •No Warranty: This messaging program is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, kundlivala disclaims all warranties of any kind, express or implied, with respect to this messaging program and any content transmitted through it.
• •Applicable Terms: Your use of this messaging program will also be governed by kundlivala's Terms of Service and Privacy Policy, which are incorporated by reference into these Terms. If there is any inconsistency between these Terms and the Terms of Service, the Terms of Service will prevail to the extent permitted by applicable law.

kundlivala Wallet Balance Expiry Policy

This document is an electronic record in terms of the Information Technology Act, 2000 and is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011.

Your use of the Platform and the services and tools is governed by these Terms and Conditions. By mere use of the Platform, you will be entering into a contract with kundlivala Services Private Limited (hereinafter referred to as the "Platform/Company"). For the purposes of these Terms and Conditions, wherever the context requires, You or User means any natural or legal person who has agreed to become a Buyer by providing Data as a Registered User on the Platform.

"kundlivala Wallet" means the digital account created by the Company in Your name on the Platform, which reflects the balance of Service Credits held by You, including Real Service Credits and Virtual Service Credits, and which can be used only for the limited purpose of availing the Services on the Platform. kundlivala Wallet is not a bank account, prepaid payment instrument, electronic wallet, stored value facility, payment system, or deposit of money. Service Credits have no cash value, do not represent money or monetary value, and are non-transferable, non-assignable, non-encashable.

"Service Credits" means notional units of value recorded in Your kundlivala Wallet for the limited purpose of availing the Services on the Platform. "Real Service Credits" means Service Credits earned by You through direct monetary payments using Authorized Payment Methods available on the Platform. "Virtual Service Credits" means service credits credited to Your kundlivala Wallet by the Company without any monetary payment by You, including promotional credits, cashback credits, referral rewards, incentive credits, goodwill credits, bonus credits, or similar non-cash credits. "Active Status of kundlivala Wallet" means the state in which Your kundlivala Wallet is enabled on the Platform and is able to be used for holding Service Credits and availing the Services.

Service Credit Usage, Expiry & Terms

• •1. Wallet Status and Validity of Service Credit: Your kundlivala Wallet will remain active subject to your compliance with these Terms and Conditions. However, each Service Credit transaction deposited into the kundlivala Wallet is issued with a specific validity period. Upon the expiration of such validity period, all or any unused portion of the corresponding Service Credit may expire.
• •2. Purchase and refund of service credits: You may purchase Service Credits by recharging through authorized payment methods available on the Platform, following which the corresponding amount will be credited as Real Service Credits. Where a refund is approved in accordance with the Company's applicable refund policies, You will be provided with the option to receive such refund either as a credit to Your kundlivala Wallet or to the original payment source. Any service credits credited under the refund will be subject to the same usage, order of use, and termination conditions as applicable under these Terms and Conditions.
• •3. Nature of Virtual Service Credit: Virtual Service Credits are provided as a promotional or discretionary benefit and do not represent legal tender, stored value, or deposits. Virtual Service Credits have no cash value. You acknowledge that Virtual Service Credits do not create any ownership rights or guaranteed rights.
• •4. Visibility of termination and user responsibility: The applicable expiration date for each Service Credit will be displayed in your kundlivala Wallet. You are solely responsible for reviewing your Service Credit balance, usage order, and applicable expiration deadlines.
• •5. Expiration of Virtual Service Credits: All Virtual Service Credits deposited will expire fourteen (14) days from the date of credit, unless a different expiration period is clearly communicated at the time of credit. Upon termination, Virtual Service Credits will automatically expire and will not be reinstated, revived, or extended unless required under applicable law.
• •6. Expiration of Real Service Credit: Each Real Service Credit added to your kundlivala Wallet is issued with a specific validity period (generally up to 1 year). You acknowledge and agree that it is your sole responsibility to monitor the validity and expiration of all Real Service Credits deposited in your kundlivala Wallet. Upon the expiration of the applicable validity period, all or any unused portion of such Real Service Credits will automatically expire. You may be notified in advance of the impending expiry through the Platform or other communication channels; any failure or delay in receiving such notification will not extend the validity period. You expressly agree that you shall have no claims, demands or causes of action against the Company with respect to any Real Service Credits that expire upon the expiration of the applicable validity period. All claims will be governed by the laws of India, and the courts of New Delhi will have exclusive jurisdiction.
• •7. Order of use of service credit: Where Your kundlivala Wallet contains multiple Service Credits, including Virtual Service Credits and Real Service Credits, whether issued from different sources or having different validity periods, such Service Credits shall, unless otherwise expressly stated at the time of crediting, be consumed concurrently on a pro-rata basis in proportion to their respective available balances at the time of use, with no preference or priority applying to any category of Service Credits.
• •8. Campaign-specific overrides: For specific promotions, offers or campaigns, the Company may set different expiration periods or usage rules for Service Credits, which will be communicated at the time of such Credits and will override the general rules stated herein.
• •9. Account Closure, Suspension, and Abuse: Upon account closure, suspension, or termination for any reason, all unused Virtual Service Credits will immediately expire. Any unused Real Service Credits will be disposed of in accordance with these Terms and Conditions and applicable law. The Company reserves the right to reverse, adjust, or cancel any service credits accumulated due to technical error, system malfunction, fraud, or abuse, without liability.
• •10. Refunds, Chargebacks, and Dispute Limits: Service Credits are for use only for Services provided on the Platform. Expiration of Service Credits in accordance with these Terms will not constitute non-delivery of Services. Any request for a refund of Real Service Credits, if permitted under applicable law, will be subject to the Company's refund policies. Any dispute relating to Service Credits or their termination must be raised within thirty (30) days from the date of such termination.
• •11. General Conditions and Acceptance: The expiration or lapse of Service Credits in accordance with these Terms and Conditions will not, in itself, constitute a deficiency in service or an unfair trade practice. Continued use of the Platform and kundlivala Wallet Services after the effective date of these Terms constitutes acceptance of the Service Credit usage, order of use, termination terms, refund management, and dispute limitations set forth herein.
